Terms & Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of services provided by moondial Digital Services Ltd (Company No. SC789255), a company registered in Scotland. By engaging with our services, requesting a proposal, or accessing our website, you agree to be bound by these Terms.

2. Services
moondial Digital Services Ltd offers digital services including, but not limited to, project management, consultancy, graphic design, video editing, UX/UI design, website development, and related support services. The specific scope, deliverables, timelines, and fees for each engagement will be detailed in a written proposal or contract agreed by both parties.

3. Client Responsibilities
Clients agree to provide timely access to information, assets, feedback, and decision-making to enable project delivery. Delays in client response may impact timelines or project costs.

4. Fees and Payment
All fees will be outlined in writing prior to commencement of work. Unless otherwise agreed:

  • Invoices are issued monthly or upon milestone completion.

  • Payment terms are strictly 14 days from the invoice date.

  • Late payments may be subject to interest charges and/or paused services until payment is received.
     

5. Intellectual Property
Unless otherwise stated in writing:

  • The client will own the final deliverables upon full payment.

  • moondial Digital Services Ltd retains the right to showcase non-confidential work in our portfolio and promotional materials.

  • All pre-existing intellectual property, tools, or frameworks used during a project remain the property of their respective owners.
     

6. Confidentiality
We treat all client information as confidential and will not share it with third parties without permission, unless required by law. Clients agree to treat all proposals, working documents, and pricing as confidential.

7. Revisions and Changes
Reasonable rounds of feedback and revisions are included in project scopes, unless otherwise agreed. Requests outside of scope will be reviewed and may be subject to additional fees and revised timelines.

8. Warranties and Liability
While we strive for the highest standard of work:

  • We do not guarantee specific outcomes, performance metrics, or success of marketing or business strategies.

  • Our liability for any claim shall not exceed the fees paid for the specific service provided.

  • We are not liable for any indirect or consequential losses.
     

9. Cancellation and Termination
Either party may terminate a project with 14 days’ written notice. The client will be invoiced for work completed up to the termination date. moondial Digital Services Ltd reserves the right to terminate services if payment terms are repeatedly breached or if the working relationship breaks down.

10. Governing Law
These Terms are governed by the laws of Scotland. Any disputes arising shall be subject to the exclusive jurisdiction of the Scottish courts.

11. Updates to Terms
We may update these Terms occasionally to reflect changes in services, legal requirements, or business operations. The latest version will always be available on our website.
